Terms of Service

These Terms of Service ("Terms") govern your use of the Talkbooks application and services ("Service") operated by Talkbooks ("we", "our", or "us"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Account Registration

• You must provide a valid email address and create a password to use Talkbooks.
• You must verify your email address before accessing the full functionality of the Service.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity that occurs under your account.
• You must be at least 13 years old to create an account.
• You must notify us immediately at support@talkbooks.app if you suspect unauthorized access to your account.

2. Acceptable Use

You agree to use Talkbooks only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to our systems, other user accounts, or data.
• Interfere with or disrupt the integrity or performance of the Service.
• Use automated scripts, bots, or tools to access the Service in a manner that exceeds reasonable use.
• Upload or transmit viruses, malware, or other harmful code.
• Use the Service to store or process data that violates any applicable law or regulation.
• Resell, redistribute, or sublicense access to the Service without our written permission.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

3. Subscription Plans and Billing

Talkbooks offers the following subscription tiers:

• Free: $0/month. Limited to 2 entities, 30-day transaction history, no inventory or order management, owner-only access.
• Pro: $9.99/month or $89.99/year. Unlimited entities, full history, inventory and order management, up to 2 members per entity.
• Team: $24.99/month or $199.99/year. All Pro features plus unlimited members per entity.

Subscriptions are processed through the Apple App Store or Google Play Store via RevenueCat. Billing terms, payment processing, and refund policies are governed by the respective app store's terms.

4. Cancellation and Downgrades

• You may cancel your subscription at any time through the Apple App Store or Google Play Store.
• Upon cancellation or expiry, your account reverts to the Free tier.
• All your data is retained and remains readable after a downgrade. We do not delete your data.
• Features restricted to paid tiers (inventory management, order tracking, team members, full history) will become inaccessible until you resubscribe.
• Existing team members remain associated with your entities but new invitations are blocked on lower tiers.

5. AI Assistant and Data Accuracy

Talkbooks includes an AI-powered assistant that processes your natural language input to manage your business data. You acknowledge and agree that:

• The AI assistant may occasionally misinterpret your input or produce inaccurate results.
• You are responsible for reviewing and verifying all data entered through the AI assistant.
• Talkbooks is not a substitute for professional accounting, financial, or legal advice.
• We do not guarantee the accuracy, completeness, or reliability of any AI-generated responses or data processing.
• You should not rely solely on Talkbooks for critical financial decisions without independent verification.
• The AI assistant processes your messages in real time. Message content is not stored long-term by Talkbooks.

6. Your Data

• You retain ownership of all data you enter into Talkbooks.
• You grant us a limited license to store, process, and display your data solely for the purpose of providing the Service.
• We do not sell, share, or use your data for advertising purposes.
• You may request deletion of your account and all associated data at any time by contacting support@talkbooks.app.
• You may request an export of your data by contacting support@talkbooks.app.

7. Team and Entity Access

• Entity owners can invite other users as members with specific roles (manager, staff, viewer).
• You are responsible for managing access to your entities and ensuring invited members comply with these Terms.
• Entity owners can remove members at any time.
• Data entered by team members within an entity is owned by the entity owner.

8. Service Availability

• We strive to maintain high availability but do not guarantee uninterrupted access to the Service.
• We may perform maintenance, updates, or modifications that temporarily affect availability.
• We reserve the right to modify, suspend, or discontinue any part of the Service with reasonable notice.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
• We do not warrant that the Service will be error-free, secure, or uninterrupted.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
• We are not liable for any financial losses resulting from inaccurate data entry, AI misinterpretation, or reliance on information provided through the Service.

10. Indemnification

You agree to indemnify and hold harmless Talkbooks, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

11. Termination

• We may suspend or terminate your account if you violate these Terms.
• You may terminate your account at any time by contacting support@talkbooks.app.
• Upon termination, your right to use the Service ceases immediately.
• Provisions that by their nature should survive termination will survive, including limitation of liability, indemnification, and governing law.

12. Intellectual Property

The Talkbooks name, logo, and all related marks, designs, and content are the intellectual property of Talkbooks. You may not use our intellectual property without our prior written consent.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the app or sending you an email. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall be resolved in the courts of the Philippines.
